ARTICLE I. NAME OF ORGANIZATION

The name of the organization is The USS North Carolina, NCC-97005.

ARTICLE II. PURPOSE

Section 1. Nonprofit Purpose

The USS North Carolina is organized exclusively for the online social interaction and community of Role Playing as a member of the USS North Carolina, NCC-97005, a fictional Federation Starship in the Primary Star Trek Timeline.

Section 2. Specific Purpose

The USS North Carolina, NCC-97005 is designed to simulate the Federation Starship, USS North Carolina, NCC-97005, an Odyssey Class Heavy Tactical Cruiser and its crew as all the participants create a cooperative role play story of the adventures of the Ship and her crew in the Star Trek Universe.

ARTICLE III. MEMBERSHIP

Section 1. Eligibility for Membership

Membership is open for any adult (18+) that is a fan of Star Trek and wants to work in the cooperative role play setting of the USS North Carolina, NCC-97005.

Section 2. Annual Dues

The amount required for annual dues shall be $0 each year, unless changed by a majority vote of the members at an annual meeting of the full membership. Continued membership is contingent upon being up-to-date on membership dues.

Section 3. Rights of Members

No member of the USS North Carolina shall have any interest in, or right to, the property and assets of the USS North Carolina. All property and assets of the organization shall be irrevocably dedicated to charitable purposes, consistent with the further provisions of these Bylaws. Should the USS North Carolina be dissolved or liquidated, or otherwise cease operation, the property and assets of the USS North Carolina shall first be used to pay all outstanding debts and obligations of the organization, with any remaining assets being contributed on behalf of the membership to a charity designated by the Command Staff of the USS North Carolina.

Section 4. Resignation and Termination

Any member may cancel his or her membership at any time by email sent to the USS North Carolina Commanding Officer as provided in the current Membership Handbook. Any member may be removed from the membership for just cause shown, upon notice and with an opportunity to be heard, upon 4/5ths vote of the Members. Appeals must be carried forth within 30 days of the decision of the North Carolina membership.

ARTICLE IV. COMMAND STAFF

Section 1. General Powers

The governing body of the USS North Carolina shall be the Command Staff whose members shall constitute the "Board of Directors". The Senior Staff shall consist of the members of the Command Staff and Division Heads. The function of the Command Staff shall be to formulate policy and to set directions and goals for the organization.

Section 2. Composition

The Command Staff is appointed by the Commanding Officer and consists of the following (in order of succession):

  • Commanding Officer
  • Executive Officer
  • Second Officer

ARTICLE VI. OFFICERS

The officers of the Command Staff shall be the Commanding Officer (President), Executive Officer (Vice-President), and Second Officer (Secretary/Treasurer).

Section 1. Commanding Officer (President) or CO

The Commanding Officer is responsible for the general welfare and administration of the Ship, as well as the administration and disbursement of Ship's funds and financial records. If for any reason a vacancy shall occur in the office of Commanding Officer, the Executive Officer shall immediately assume the office and responsibilities of Commanding Officer. The office of Executive Officer shall then be filled in accordance with the current Membership Handbook.

Section 2. Executive Officer (Vice-President) or XO

The Executive Officer (XO) reports monthly to the Commanding Officer and is second-in-command of the organization. The XO acts for the CO in his or her absence or disability from office as described in the current Membership Handbook, and discharges those duties as specified therein. The Executive Officer shall be at least 21 years of age at the time of taking office and must meet all other qualifications for office as set forth in the current Membership Handbook.

Section 3. Second Officer (Secretary/Treasurer) or SO

The Second Officer (SO) reports monthly to the Executive Officer and is third-in-command of the organization. The SO acts for the XO in his or her absence or disability from office as described in the current Membership Handbook, and discharges those duties as specified therein. The Second Officer shall be at least 21 years of age at the time of taking office and must meet all other qualifications for office as set forth in the current Membership Handbook.

Section 4. Removal of Command Staff

Any member of the Command Staff or the Senior Staff may be removed from office by the Commanding Officer for just cause shown. Appeals must be carried forth within 30 days of the decision of the CO.

ARTICLE VII. AMENDMENTS

The Command Staff may amend these Bylaws by majority vote at any regular or special meeting. Written notice setting forth the proposed amendment or summary of the changes to be affected thereby shall be given to each director within the time and the manner provided for the giving of notice of meetings of directors.


The above revision of the USS North Carolina Bylaws supersedes any previous versions of bylaws or rules presented to the members of the USS North Carolina.
